Grand City Properties S.A. launches a convertible bond offering

Luxembourg, February 17, 2014 - The Board of Directors of Grand City Properties S.A. (the 'Company') has resolved today to issue senior, secured convertible bonds convertible into new and/or existing ordinary shares having a par value of EUR 0.10 (the 'Shares') of the Company (the 'Bonds'). The Bonds (each with denomination of EUR 100,000) will be offered only to institutional investors outside the US, Canada, Australia, Japan, South Africa or any other jurisdiction in which offers or sales of the securities would be prohibited by applicable law.

Bonds with a total placement volume of up to EUR 150 million and initially convertible into up to approximately 15.5 million Shares representing up to approximately 11.8% of the fully diluted share capital of the Company (subject to any adjustment of the conversion ratio pursuant to the terms and conditions of the Bonds), are to be placed.

The Bonds will have a maturity of five years. The Bonds will be issued at 100% of their principal amount. The Bonds will carry a nominal coupon between 1.5 % and 2.5 % p. a., payable semi-annually in arrear, and will be redeemed at maturity at a price between 101.3 and 109.3% of their principal amount. The initial conversion price will be set at a conversion premium of 22.5% - 27.5% above the reference share price. Pricing for the Bonds will be set through an accelerated bookbuilding and is expected to take place today with settlement on or around 24 February, 2014.

STRATEC Biomedical AG (Frankfurt: SBS; Prime Standard, TecDAX) announces the appointment of Dr. Claus Vielsack (46) to the Board of Management of STRATEC as Product Development Director, effective February 15, 2014. Dr. Vielsack expands the current Board of Management, comprising Marcus Wolfinger, Dr. Robert Siegle and Bernd M. Steidle, and will be responsible for the group-wide management of product development, an area for which he has borne responsibility since 2011 in his capacity as Senior Vice President.

Dr. Vielsack has held various senior product development positions at STRATEC since 1998. Before joining STRATEC, he held a number of different positions working as a program manager in the development of chemical applications and software solutions. Dr. Vielsack holds a degree in chemistry from the University of Konstanz, where he also obtained his doctorate in physical chemistry.

Decentral supplies of electricity and heating from regenerative biomass

Moscow/Dsseldorf. - At the conference on 'Efficient decentral use of biomass in the Russian Federation', which takes place in the Russian capital on 18 and 19 February ENTRADE Energiesysteme AG is presenting small and medium-capacity installations for generating electricity from wood. In the course of the two-day conference Entrade CEO Julien Uhlig will be giving a presentation on the subject of 'Decentral electricity generation from solid biomass in rural regions' and demonstrating how a plant fuelled by wood can be used to generate power and heating.

'In particular the rural areas of the Russian Federation represent a market with high sales potential for us, because many communities are not connected to central energy supply grids. And it is often not just electric power which is lacking but also the efficient generation of heating', states Mr Uhlig. 'Our installations produce not only base load electricity but also heating, which means that conventional wood stoves or outdated heating equipment can be replaced. Because of the significantly higher effectiveness level we generate more heat at better emissions values and therefore make an active contribution to environmental protection.'

The manufacturer supports the international conference for IT solutions for public commuter transport as a gold sponsor. At the IT-Trans, amongst other things the consistent further development of a ticketing terminal will be exhibited in the new, modern design and with an operating bay that is easy to use and combines all essential operating elements in a single interface. Two four-lane printers can be integrated into the device, making it possible to process up to eight paper rolls simultaneously. This extends the service intervals substantially, lowering the general operating costs for public transport corporations accordingly. Another important aspect of the further development of the successful almex.station product series is the further improvement in protection against vandalism. New operating bays made of stainless steel are extremely resistant against vandalism. Moreover, a newly developed film adhesion system facilitates personalised design and simple replacement of the film if damaged due to vandalism. Apart from public transport corporations, in Europe the Danish and Belgian state railways as well as German Rail use ticketing terminals from Hoeft & Wessel AG.

At the IT-Trans, the company will be exhibiting the almex.compact series for installation in vehicles. The ticketing terminal to be installed is equipped with up to four supplementary coin boxes and two paper rolls for the graphic-enabled printer. As a result, the maintenance expense and effort has been considerably reduced. Another device that can be found in public transport vehicles is the new on-board computer of the almex.optima series from Hoeft & Wessel, including a ticket printer. In future, this device will also facilitate a new, simple form of e-Ticketing, providing for contactless credit cards to be used instead of fare tickets. The FirstGroup, the biggest bus operator in the United Kingdom, has already been equipped with the new on-board computer. The small, handy control device almex.motive makes it easier for train attendants and conductors to check e-Tickets with an RFID chip or barcode. The portfolio of solutions is rounded off by an efficient back-office software solution that ensures communication with the central office as well as speedy and effective further processing of the relevant data. Featuring the VDV-KA, ITSO and Calypso standards, the ticketing systems from Hoeft & Wessel are ready for the future of e-Ticketing.
